The Senior Contracts and Compliance Specialist is responsible for drafting, reviewing, and managing agreements with both clients and subcontractors. They serve as the primary internal resource for contract processes, terms and conditions negotiations, compliance operations, and statement of work provisions.
Duties and Responsibilities:
- Agreement Management
- Create contracts for any service across the company, using existing tools and templates, understanding the applicable terms, conditions, and billing schedule for the scope of work.
- Follow contract request and finalization processes to help ensure ongoing accuracy and completeness of contract record-keeping inclusive of appropriate file storage and naming conventions
- Take initiative to evaluate client requests, problem solve, and propose solutions
- Navigate all types of requests from Sales team members in a way that both invites their trust and maintains appropriate boundaries
- Independently manage the review of client- and vendor-provided contracts as well as terms and conditions change requests on Carnegie contracts and identify which are non-issue and which require additional investigation or approval
- Act as a company representative for client procurement offices who have questions about contract terms and conditions or other special requests
- Specialized Form Ownership
- Collaborate with the Business Development team to review RFP terms and forms requirements, completing autonomously and creating custom responses on behalf of the contracts team when appropriate
- Compliance Operations
- Work closely with the Information Technology team to ensure all contractual data obligations are technically feasible
- Ensure that any data privacy commitments made to clients are legally and technically “flowed down” into agreements with subcontractors and third-party vendors
- Maintain an organized database of all active contracts and track renewal dates, compliance milestones, and reporting obligations
Knowledge/Skills/Abilities:
- Familiarity with creating prompts for Artificial Intelligence (AI) platforms and Large Language Models (LLMs) to achieve a desired output. Comfortability with leveraging AI and LLMs to accelerate contract drafting and summarize complex terms.

- Due to the remote environment, effective communication and time management skills are required, as well as the ability to use/learn multiple technology platforms and switch between them on a regular basis
- Physical requirement: Must be able to work at a computer for prolonged periods
Credentials and Experience:
- Bachelor’s degree or equivalent life/work experience
- 4+ years in contract management, compliance operations, or a paralegal role
- Experience handling data privacy clauses and security exhibits preferred
- Ability to translate operational needs into clear, enforceable contract language without relying solely on outside counsel
